Parties and Acceptance

This Master Service Agreement (“Agreement”) is between Fresh Slate Pressure Washing LLC, an Ohio limited liability company located in Mason, Ohio (“Fresh Slate,” “we,” “us,” or “our”), and the customer identified on the related estimate, invoice, or service order (“Customer,” “you,” or “your”). By signing an estimate, paying a deposit or invoice, scheduling service, or permitting Fresh Slate to begin work on the property, Customer accepts and agrees to be bound by these Terms and Conditions.

2. Scope of Services

Fresh Slate provides exterior cleaning services, which may include:

Residential house and siding washing using low-pressure (“soft wash”) techniques appropriate to the substrate;
Concrete and flatwork cleaning, including driveways, sidewalks, patios, walkways, and similar hardscape surfaces;
Pre-treatment and post-treatment chemical applications as appropriate to the surface and soiling.

Services are limited to those expressly identified on the written estimate or service order. Any service not listed — including but not limited to roof washing, gutter cleaning, window washing, wood staining or sealing, painting, interior cleaning, or sandblasting — is not included unless added in a written change order signed by both parties.

3. Estimates and Pricing

3.1 Validity. Estimates are based on the property condition, dimensions, and information provided by Customer at the time of quoting. Estimates are valid for thirty (30) days from issuance unless stated otherwise.

3.2 Changes in scope. If, upon arrival or during the course of work, Fresh Slate determines that actual conditions differ materially from those described or observed at quoting (including but not limited to additional square footage, heavier soiling, mold or mildew remediation, or surfaces requiring specialized treatment), Fresh Slate will notify Customer and obtain approval — in writing, by text, or by email — before performing additional work or charging additional fees.

3.3 Taxes. Prices are exclusive of any applicable Ohio sales or other taxes, which will be added where required by law.

4. Payment Terms

4.1 Deposit for larger jobs. For any service estimated at $1,000 or more, Customer agrees to pay a non-refundable deposit of twenty-five percent (25%) of the estimated total at the time of scheduling. The deposit reserves the scheduled date and covers material and mobilization costs.

4.2 Smaller jobs. For services estimated under $1,000, payment in full is due upon completion of the work.

4.3 Accepted methods. Fresh Slate accepts cash, check, ACH transfer, and major credit and debit cards. A processing surcharge may apply to credit-card payments where permitted by law and will be disclosed in advance.

4.4 Late fees. Invoices unpaid more than ten (10) days after the due date will accrue a late fee of one and one-half percent (1.5%) per month (eighteen percent (18%) per annum) on the unpaid balance, or the maximum rate permitted by Ohio law, whichever is less.

4.5 Returned payments. A fee of $40 will apply to any check returned for non-sufficient funds or any reversed electronic payment.

4.6 Collection costs. Customer agrees to pay all reasonable costs of collection on past-due balances, including attorneys’ fees and court costs, to the extent permitted by Ohio law.

5. Scheduling, Cancellation, and Weather

5.1 Notice for reschedules. Customer may reschedule or cancel a scheduled appointment by giving Fresh Slate at least forty-eight (48) hours’ notice without penalty.

5.2 Late cancellation fee. Cancellations or reschedules made with less than forty-eight (48) hours’ notice may be charged a cancellation fee of $75 or ten percent (10%) of the estimated job total, whichever is greater, to cover crew scheduling and lost-opportunity costs.

5.3 Weather delays. Fresh Slate reserves the right to reschedule due to rain, lightning, high winds, freezing temperatures, or other weather conditions that would compromise crew safety or service quality. Weather-related reschedules are not chargeable to either party.

5.4 Right of cancellation for home sales. Where required by the Ohio Home Solicitation Sales Act (Ohio Rev. Code 1345.21 et seq.), Customer has the right to cancel a sale made at Customer’s home within three (3) business days. A separate Notice of Cancellation will be provided at the time of sale where applicable.

6. Customer Responsibilities

Before and during the scheduled service, Customer agrees to:

6.1 Access. Provide clear and safe access to all areas requiring service, including unlocking gates and confining or securing pets.

6.2 Water and electricity. Make available a working exterior water spigot delivering adequate pressure and flow, and, if required for the service, an accessible exterior electrical outlet (120V/15A).

6.3 Property preparation. Move or relocate vehicles, patio furniture, grills, planters, decorative items, toys, and other movable property out of the service area. Items not relocated will be cleaned around or, at Fresh Slate’s discretion, may be moved by the crew; Fresh Slate is not responsible for damage to or loss of items left in the service area.

6.4 Closures and coverings. Close and latch all exterior windows, doors, storm windows, and pet doors before service. Cover or remove any items that may be damaged by water spray, including patio cushions, electronics, and uncovered furniture.

6.5 People and pets. Keep all persons (including children) and pets indoors or otherwise away from the active work area during service. The active work area extends at least twenty (20) feet from the operator and equipment.

6.6 Property condition disclosure. Disclose, in advance, any of the following that may affect the work:

Lead-based paint or pre-1978 construction;
Loose, peeling, chalking, or recently applied paint;
Substrate damage, rot, or compromised siding, fascia, or trim;
Window seal issues, leaking windows, or known moisture intrusion;
Skylights, solar panels, or non-weatherproof exterior light fixtures;
Septic system lids or risers, well caps, and underground utilities or sprinkler systems near service areas;
Sensitive landscaping, irrigation lines, or recent plantings;
Recent staining, sealing, painting, or coating of any surface to be cleaned.

6.7 Authorization. Customer represents that Customer owns the property or is otherwise authorized by the owner and by any applicable homeowners’ association to authorize the services described on the estimate or service order.

7. Pressure Washing — Specific Risks and Exclusions

Customer acknowledges that pressure washing and chemical cleaning, even when performed with reasonable care, carry inherent risks. The following items are excluded from Fresh Slate’s responsibility unless caused by Fresh Slate’s negligence or willful misconduct:

7.1 Oxidation on siding. Aluminum and vinyl siding can develop a chalky, oxidized layer over time. Cleaning may reveal or accentuate this oxidation, cause color variation between cleaned and uncleaned areas, or, in advanced cases, cause the oxidized layer to transfer or shed. Removing oxidation is a separate restoration service not included in standard washing.

7.2 Failing paint and coatings. Loose, peeling, chalking, or improperly adhered paint may continue to come off during or after cleaning. This is a condition of the paint, not a defect of the service.

7.3 Lead-based paint (pre-1978 homes). For properties built before 1978, the U.S. Environmental Protection Agency’s Renovation, Repair, and Painting (RRP) Rule may apply to any work that disturbs painted surfaces. Customer agrees to disclose any known or suspected lead-based paint. Fresh Slate may decline service, limit techniques to those that do not disturb paint, or refer Customer to a certified lead-safe contractor at Fresh Slate’s discretion.

7.4 Wood surfaces. Cedar, redwood, pressure-treated lumber, and other wood surfaces may experience fuzzing, raised grain, splintering, color variation, or accelerated weathering when cleaned. Fresh Slate uses the lowest effective pressure for the substrate but cannot guarantee against these characteristics of wood.

7.5 Concrete and masonry. Aged, stamped, dyed, sealed, or decorative concrete and masonry may experience etching, striping, sealer removal, or color variation. Some stains — including rust, motor oil, battery acid, paint, tire marks, deeply embedded organic staining, and stains from prior chemical exposure — may not fully remove with standard cleaning. Efflorescence (white mineral deposits) can reappear after cleaning due to ongoing moisture migration through the substrate and is not a defect of the service.

7.6 Windows, seals, and glass. Pressure washing near windows can compromise failing seals and cause water intrusion. Mineral deposits, hard-water spots, etching, and adhesive residues on glass may not fully remove. Window cleaning is not included unless separately itemized.

7.7 Light fixtures and exterior electrical. Non-weatherproof or aged light fixtures, outlets, and junction boxes may permit water intrusion. Customer is responsible for ensuring exterior electrical fixtures are weatherproof and in good condition.

7.8 Landscaping. Fresh Slate uses biodegradable cleaning agents at appropriate dilutions, pre-wets plantings where practical, and rinses landscaping during and after work. Despite reasonable precautions, runoff or overspray may affect plants, particularly newly planted, sensitive, or stressed landscaping. Customer is encouraged to water plants thoroughly before service and again after service to dilute any residual chemicals.

7.9 Pre-existing damage. Fresh Slate is not responsible for pre-existing damage to siding, paint, caulking, trim, screens, gutters, decking, concrete, masonry, fixtures, windows, or any other property element. Where Fresh Slate identifies significant pre-existing damage during the walkthrough or while working, the crew may photograph the condition and notify Customer.

7.10 Excluded services. Roof cleaning, interior gutter cleaning, window washing, restoration of chalking or failing paint, sealing, staining, lead-paint abatement, and mold remediation are excluded from standard services unless specifically itemized on the written estimate.

8. Service Standards and 7-Day Callback Guarantee

8.1 Walkthrough. When practical, Fresh Slate will conduct a brief walkthrough with Customer at the completion of the work to confirm satisfaction. If Customer is not on-site at completion, before-and-after photos may be provided.

8.2 Callback window. If Customer identifies any spot or area within the scope of the original work that was missed or not cleaned to the standard described in the estimate, Customer must notify Fresh Slate in writing (by email or text) within seven (7) days of the completion date. Fresh Slate will, at no additional charge, return to address the documented missed areas within a reasonable time, weather permitting.

8.3 What the callback covers. The 7-day callback covers workmanship — specifically, missed areas within the original scope of work. It does not cover:

Conditions disclosed as exclusions in Section 7;
New soiling, mildew, algae, or staining that develops after completion;
Areas affected by undisclosed property conditions;
Work outside the scope of the original written estimate.

8.4 No other warranty. Except for the express 7-day callback in this Section 8, Fresh Slate makes no warranties, express or implied, including no implied warranty of merchantability or fitness for a particular purpose. To the maximum extent permitted by Ohio law, all such warranties are disclaimed.

9. Insurance and Limitation of Liability

9.1 Insurance. Fresh Slate maintains general liability insurance covering its operations. A certificate of insurance is available to Customer on written request.

9.2 Limitation of liability. To the maximum extent permitted by Ohio law, Fresh Slate’s total liability to Customer for any claim arising out of or related to the services — whether in contract, tort, statute, or otherwise — is limited to the amount actually paid by Customer to Fresh Slate for the specific service giving rise to the claim.

9.3 Excluded damages. In no event will Fresh Slate be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of use, loss of property value, or loss of business, even if Fresh Slate has been advised of the possibility of such damages.

9.4 Reporting damage. Any claim of damage caused by Fresh Slate’s services must be reported in writing within seventy-two (72) hours of completion to allow inspection and verification. Claims not reported within this period are waived, except where prohibited by Ohio law.

9.5 Non-limitable liability. Nothing in this Section limits any liability that cannot be limited as a matter of Ohio law, including liability for personal injury caused by Fresh Slate’s negligence.

10. Indemnification

Customer agrees to indemnify and hold harmless Fresh Slate, its members, employees, and agents from any third-party claim arising from: (a) Customer’s misrepresentation or non-disclosure regarding property condition, ownership, or authorization; (b) Customer’s failure to perform the responsibilities in Section 6; or (c) Customer’s negligence or willful misconduct.

11. Photography and Marketing

Fresh Slate may take photographs of completed work for quality-control and marketing purposes (including website and social media). Photographs will not identify Customer by name, address, or other personal information without Customer’s prior written consent. Customer may opt out by notifying Fresh Slate in writing before or at the time of service.

12. Independent Contractor

Fresh Slate performs services as an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, joint venture, or agency relationship between the parties.

13. Force Majeure

Neither party is liable for delays or failure to perform caused by events beyond reasonable control, including severe weather, natural disasters, government action, utility failure, supply shortages, or public-health emergencies. The affected party will give prompt notice and resume performance when reasonably possible.

14. Governing Law and Dispute Resolution

14.1 Governing law. This Agreement is governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles.

14.2 Venue. Any legal action must be brought in the state or federal courts located in Warren County, Ohio, and both parties consent to that jurisdiction.

14.3 Good-faith resolution. Before initiating any legal action, the parties agree to attempt to resolve any dispute in good faith through direct written communication for at least thirty (30) days.

14.4 Small claims. Disputes within the jurisdictional limit of the small-claims division of the relevant Ohio municipal court may be brought in that forum.

14.5 Fees on collections. In any action to collect amounts owed under this Agreement, the prevailing party is entitled to recover reasonable attorneys’ fees and court costs to the extent permitted by Ohio law.

15. Notices

Notices to Fresh Slate must be sent to [INSERT EMAIL] or to the business address listed at the end of this Agreement. Notices to Customer may be sent to the email, phone number, or address provided by Customer on the estimate or service order. Notices are deemed received on the next business day after sending.

16. Entire Agreement; Modifications; Severability

16.1 Entire agreement. This Agreement, together with the written estimate, change orders, and any invoices, is the entire agreement between the parties regarding the subject matter and supersedes any prior or contemporaneous oral or written communications.

16.2 Modifications. Modifications are effective only if in writing and signed (including by electronic signature) by both parties.

16.3 Severability. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

17. Acceptance

By signing below, by paying a deposit or invoice, by scheduling service, or by allowing Fresh Slate to begin work on the property, Customer acknowledges that Customer has read, understands, and agrees to be bound by this Agreement.
